Incorporation & Registration of Company Limited by Shares
-Registration of a Private Company

• application for approval of a proposed name from CCM
• preparation & filing of pre-incorporation documents which comprise of :

a) M & A

b) Form 48A (Statutory Declaration by a Person Before Appointment as Director, or by a Promoter      before Incorporation of Corporation)
c) Form 6 (Declaration of Compliance)
d) Form 48F ( Declaration by a Person Before Appointment as Secretary)
 *this form is required to be retained as a statutory record and need not be filed with CCM*

• payment of incorporation fees
•  obtain Form 9 (Certificate of Incorporation) from CCM

-First Board Meeting
the purpose of convening the first board of directors meeting is to approve & confirm the following matters :

• Appointment of chairman
• Certificate of Incorporation
• First Directors
• Appointment of Secretary
• Appointment of Auditors
• Common Seal
• Financial Year End
• Bank Accounts
• Subcribers' Shares
• Allotment of Additional Shares
• Registered Office
• Ratification of Pre-Incorporation Contracts
• Declaration of Directors' Interest in Contracts, Property, Offices, etc
